Terms of Service

Welcome to the Magnetix Ltd. ("we", "us", "our", or the “Company”) platform, available at https://www.magnetix.ca/ (hereinafter along with the website collectively referred to as “Platform”). These Terms of Service ("Terms") govern your use of the Platform, so please read them carefully.

1. ACCEPTANCE OF TERMS 

 

By accessing and using the Platform or using any of our services (“Services”), you acknowledge that you have read, understood, and agree to be fully bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. These Terms apply to all users of the Platform, including individuals who browse the site, submit an application, or otherwise engage with any part of the Services, regardless of payment status. 

 

2. REGISTRATION 

 

2.1 Registration Requirements: To access the Services on the Platform, you are required to (1) submit an application containing true and accurate personal information; and/or (2) submit a form, calendar invitation, or email us with true and accurate personal information.  

 

2.2 Accuracy of Information: Providing false, misleading, or incomplete information may result in immediate suspension or permanent termination of your access to the Platform and Services, at our sole discretion.  

2.3 Fraudulent and Criminal Activity: We reserve the right to report any suspected fraudulent or criminal activity to law enforcement or relevant regulatory authorities.

3. PROVISION OF SERVICES 

 

You must be at least the age of majority in your jurisdiction of residence, and in any case no younger than 19 years old, to submit an application, request Services, or otherwise use the Platform. By accessing or using the Platform, you represent and warrant that you meet this eligibility requirement. For more information regarding age restrictions and the handling of Personal Information, please refer to our Privacy Policy. 

 

We reserve the right, without prior notice and at our sole discretion, to restrict, suspend, or terminate your access to any part of the Services or Platform for any reason, including but not limited to violations of eligibility requirements, fraud, or misuse. 

 

3.1 Third-Party Services: Some Services offered through the Platform may be provided, supported, or facilitated by third-party service providers. The Company disclaims all liability for any claims, damages, or losses arising from your use of Services delivered by such third-party providers. 

 

3.2 No Guarantee of Services: You acknowledge and agree that all Services are provided on an “as available” and "best efforts" basis. The Company makes no warranties or guarantees regarding the availability, quality, results, or outcomes of the Services, and disclaims all liability for any failure or delay in providing Services, whether due to circumstances within or beyond our reasonable control. 

 

3.3 Sanctioned Countries: Access to and use of the Platform and Services from any Office of Foreign Assets Control (“OFAC”) sanctioned countries, or other jurisdictions prohibited by applicable law, is strictly prohibited. 

 

4. INTELLECTUAL PROPERTY 

 

All content, applications, logos, and materials on the Platform, including but not limited to text, graphics, videos, software, and the arrangement thereof, are the property of the Company and are protected by applicable intellectual property laws.  

The trademarks, service marks, and logos displayed on the Platform, including but not limited to the "Magnetix" name, the Magnetix logo, and any associated wordmarks, are proprietary and may not be used, copied, or reproduced in any form without the prior express written consent of the trademark owner.  

You may not reproduce, modify, distribute, or display any content, materials, trademarks, or proprietary information from the Platform without prior express written consent. Unauthorized use may violate copyright, trademark, and other applicable laws. 

 

5. USER CONTENT 

 

By submitting, uploading, or providing any content to the Platform including but not limited to application materials, questionnaires, written responses, photographs, videos, communications, or other submissions, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, publicly display, publicly perform, modify, create derivative works of, and otherwise use such content for any lawful purpose, in any medium now known or later developed. 

You acknowledge and agree that any content you provide through your application or otherwise becomes the sole and exclusive property of the Company upon submission, and you waive any and all moral rights or other similar rights in and to that content to the maximum extent permitted by law. 

The Company shall have no obligation to compensate you for any use of your submitted content, and you expressly agree not to assert any claim against the Company relating to such use. 

 

6. PAYMENTS AND REFUNDS 

 

As used in these Terms, "Fees" refers collectively to all amounts payable for event planning services, application submissions, interview scheduling or participation, membership services, and any other services provided by the Company as described in Sections 6.1 through 6.4 below. 

Fees are specified on the Platform or discussed in individual contracts. Payment processing for all Fees is handled by a third-party payment processor. The Company disclaims all responsibility for any errors, delays, security breaches, or other issues arising out of the payment processing services provided by such third-party payment processor. 

 

6.1 Event Planning Fees: Fees paid in connection with event planning services, travel planning services, private dining arrangements, and related coordination services are non-refundable. These services involve significant advance commitments with third parties and as such, all payments are final. 

 

6.2 Application Fees: Application fees collected for the submission and review of any application are non-refundable. Submission of an application does not guarantee acceptance or any particular outcome, and no refund shall be provided for withdrawal, rejection, or dissatisfaction for any reason. 

 

6.3 Interview Fees: Fees paid for interview scheduling or participation are non-refundable. Interview fees are subject to the cancellation policy in effect at the time of booking, and any exception to the no-refund policy shall be at the sole discretion of the Company. 

 

6.4 Membership Fees: Clients who complete Final Payment of the full Membership Fee are eligible to request a refund of fifty percent (50%) of the Membership Fee within five (5) calendar days following completion of Final Payment. "Final Payment" means the last payment required to complete one hundred percent (100%) of the Membership Fee. Refund requests must be submitted in writing to hello@magnetix.ca within this timeframe. Refund requests are subject to review and approval by the Company. No refunds will be issued after the expiration of the five-day period. 

 

7. TERMINATION 

 

We reserve the right to terminate or suspend your access to the Platform and its Services at our sole discretion, without notice, for any or no reason, including, but not limited to, a breach of Clause 8 (User Code of Conduct). Any violation of Clause 8.1 may also result in a report to law enforcement authorities and permanent denial of access to all current and future services operated by us or our affiliated entities. 

 

8. USER CODE OF CONDUCT 

 

8.1 Any attempt to use the Platform or its Services to engage in, facilitate, promote, or enable criminal activity is strictly prohibited, including but not limited to fraud, exploitation, coercion, or any unlawful interpersonal arrangements. Users who violate this clause will face immediate and permanent expulsion from the Platform, and we reserve the right to report such activity to law enforcement and cooperate fully in any resulting investigations or prosecutions. 

 

8.2 You shall not display, upload, publish or share any information which: 
(A) promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; 
(B) is patently offensive to the online community of the Platform; 
(C) harasses or advocates harassment of any member(s) of the Platform; or 
(D) belongs to another person and to which you do not have any rights. 

 

9. CHANGES TO TERMS 

 

We may modify these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for changes if any. By continuing to use the Platform or Services after any modifications to these Terms, you are deemed to have accepted and agreed to the revised Terms.

10. DISCLAIMER

All information and content provided through the Platform, including but not limited to application materials, responses, recommendations, and event-related communications, are offered solely for informational purposes and do not constitute professional advice, guarantees, or assurances of any personal or business outcomes.

While the Company endeavors to review submitted information in good faith, it makes no representations or warranties regarding the accuracy, truthfulness, or completeness of any individual's submissions or communications. The Company expressly disclaims any responsibility or liability for the actions, omissions, representations, or outcomes arising from any referrals, introductions, events, or interactions facilitated through the Services with any individuals, third parties, or other organizations. 

Participation in any event, meeting, or interaction facilitated through the Platform is entirely voluntary and at your sole discretion and risk. 

 

11. LIMITATION OF LIABILITY 

 

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other tangible or intangible losses, resulting from: (a) your access to or use of, or inability to access or use of, the Services; (b) any conduct or content of any party (including, those stemming from third-party impersonators, scams, hackings, etc.) other than the Company, including without limitation, any defamatory, offensive, or illegal conduct; or (c) unauthorized access, use, or alteration of your content or information. 

 

12. GOVERNING LAW 

 

These Terms are governed by and construed in accordance with the laws of Delaware, USA. Any legal action or proceeding arising out of or related to these Terms, will be submitted to the personal jurisdiction of and the exclusive venue of the courts located in Delaware.
